These General Terms and Conditions apply to all business relationships between Carl Weiske GmbH & Co. KG (hereinafter "Seller") and the Buyer. The version valid at the time the contract is concluded shall apply.
We only recognize deviating terms of the Buyer if we have expressly agreed to their validity in writing.
Our offers are subject to change and non-binding. Orders placed by the Buyer constitute a binding contractual offer. The contract is concluded upon our written order confirmation or the actual delivery.
Delivery dates and deadlines are only binding if we have confirmed them in writing. Partial deliveries are permitted. Delivery delays due to force majeure entitle us to reasonably extend the delivery time or to withdraw from the contract.
Prices at the time of order apply. All prices are subject to statutory VAT and shipping costs. Payments are due within 30 days of invoicing without deduction, unless otherwise agreed.
We retain title to the delivered goods until full payment of all claims arising from the business relationship.
The Buyer's warranty rights require that they have properly fulfilled their inspection and notification obligations pursuant to Sec. 377 of the German Commercial Code (HGB). The limitation period for warranty claims is 12 months from delivery of the goods.
We are liable for damages resulting from injury to life, body or health caused by a negligent breach of duty, as well as for other damages caused by an intentional or grossly negligent breach of duty. Otherwise, our liability is excluded.
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes is Hof, provided the Buyer is a merchant.
Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
